Scope of responsibility: full legal support for the Group of companies’ business (outsourcing, outstaffing, recruitment, IT, migration business) in both Russian and international operations

Functional responsibilities:

1. Corporate:

• Preparation of bilingual corporate agreements;

• Development of the Group of companies’ constituent documents;

• Registration of legal entities, amendments to the constituent documents;

• Coordination of shareholders register maintenance;

• Development of regulations on powers of the General Meeting, Board of Directors, Audit Committee, etc.

• Preparation of documents required for registration procedures: applications to regulatory authorities, bilingual minutes of General Meetings of shareholders and corporate members.

2. Transaction’s support:

• Development of regulations for transactions involving acquisition or disposal of assets;

• Coordination of transactions with the company’s shares;

• Defining legal frameworks and coordinating the company’s dividend policy.

• Drafting joint participation agreements, partnership, venture agreements, joint ventures, supporting M&A transactions support

3. International focus:

• Full legal support of the Company’s business (outsourcing, outstaffing, recruitment,IT, migration business) both in both Russian and international operations • Legal support for foreign legal entities (UAE,India etc.)

• Assistance with registration, closure and maintenance/renewal of legal entities in the UAE, assistance in obtaining employees IDs, submitting reports.

Candidate requirements:

• Bachelor’s degree in law

• 5+ years of experience as a Senior Legal Counsel in managing companies. Proven experience in corporate law;

• Experience in legal support for companies in outstaffing/outsoursing industry is a plus;

• Proactive leadership and a result-driven approach;

• Excellent communication, negotiation, organizational skills

• Ability to work in fast changing environment;

• Attention to detail;

• Attention to detail;

• Experience in daily communication with shareholders

• Fluent English
