We are looking for a lawyer to Asset Management Department (3-5 years PQE) to support asset management activity of the firm.

Duties and Responsibilities:

  • Co-ordination of external providers on issues related to dealing with international banks, EU and Russian regulators regarding to frozen Russian securities and settlements on coupons and dividends;
  • Advising on tax consequences related to the transactions with securities (sale and purchase, receipt of coupon / dividend / capital gain income);
  • Communication with brokers in terms of correct calculation and payment of taxes in relation to transactions with securities, arranging return of taxes paid in excess;
  • Communication with the brokers and service providers in terms of unblocking the securities blocked due to sanctions and proceeds from such securities;
  • Arranging the transactions with securities held by the clients on custody accounts (e.g. transfers between the accounts, gift to relatives, and etc.);
  • Opening of bank and custody accounts;
  • Review of legal documents from funds and SPVs of external asset managers to be included in investment portfolio. Usually funds are registered in Cayman, Guernsey, Delaware;
  • Co-ordination of external legal providers on issues related to restructuring and liquidation of external funds in portfolio (Cayman);
  • Review and drafting of NDA, agency and consultancy agreements related to M&A advisory;
  • Participation in review and preparation of materials for marketing and web site.

Requirements:

  • Work experience with broker or investment bank dealing with international markets;
  • Good knowledge of depositary and security settlements;
  • Good knowledge of sanction and currency control regulation;
  • Experience in real estate and private equity deals is a plus.
